If I was a OneMain.com shareholder what is my cost basis in my EarthLink stock and what are the tax implications of the purchase transaction?
The acquisition of OneMain.com stock by EarthLink was intended by the parties to be a forward triangular merger under Section 368(a)(2)(D) of the Internal Revenue Code. OneMain.com shareholders received $5.964 in cash and .3562 of a share of EarthLink stock for each share of OneMain.com stock tendered. As of the close of trading on Monday, September 11, 2000, the fair market values of the OneMain.com, Inc. and EarthLink stocks were $10.06 and $11.50, respectively. As a result, the total proceeds received by OneMain.com shareholders for each OneMain.com share tendered would be approximately $10.06, consisting of $5.964 and .3562 shares of EarthLink stock with a fair market value of $4.096 ($11.50 X .3562). The OneMain.com shareholders will generally recognize gain, if any, realized from the exchange for the difference between those proceeds and the tax basis of their OneMain.com stock. The gain, if any, however, is capped by the cash received in the exchange. Cash received in lieu of a fractional share will generally be treated as part of the total proceeds received from the redemption of the shareholders' OneMain.com stock and not as cash received in the exchange.
Any gain recognized from the exchange will be capital, assuming the OneMain.com stock was a capital asset in the hands of the OneMain.com shareholder. No loss may be recognized from the exchange.
OneMain.com shareholders will generally have a carryover basis in the EarthLink stock received in the exchange decreased by the cash received and increased by any gain recognized in the exchange. Their holding period for the EarthLink stock received in the exchange will include the period in which they held their OneMain.com stock.
